LinkVault Marketplace Vendor Agreement
Effective date: July 6, 2026
This Vendor Agreement ("Agreement") is entered into between LinkVault ("LinkVault", "we", "our", or "us") and any individual, company, or legal entity ("Vendor", "Seller", or "you") that registers to sell products or services through LinkVault Marketplace (shop.linkvault.bio).
By creating a Vendor account, publishing products, or accepting customer orders through the Marketplace, you agree to be legally bound by this Agreement, the LinkVault Terms and Conditions, Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional policies published by LinkVault.
1. Purpose
LinkVault Marketplace provides Vendors with an online platform to market, advertise, and sell products or services to Customers.
LinkVault acts solely as a technology platform facilitating transactions between Vendors and Customers. Unless expressly stated otherwise, LinkVault is not the seller, importer, exporter, manufacturer, distributor, or owner of products listed by Vendors.
2. Vendor Eligibility
To become a Vendor, you must:
- Be at least eighteen (18) years of age or the legal age of majority in your jurisdiction.
- Have the legal authority to operate a business.
- Provide accurate registration information.
- Maintain a valid email address and phone number.
- Complete identity verification (KYC) where required.
- Provide accurate payout information.
- Comply with all applicable laws and regulations.
Businesses registering through an authorized representative warrant that the representative has authority to bind the business.
3. Account Registration and Verification
LinkVault may require you to provide:
- Legal name
- Business name
- Government-issued identification
- Business registration documents
- Tax identification information
- Bank account or approved payout details
- Contact information
- Proof of address
- Additional information necessary for fraud prevention or regulatory compliance
We reserve the right to approve, reject, suspend, or terminate Vendor applications at our sole discretion where permitted by law.
4. Vendor Dashboard
Your Vendor Dashboard allows you to:
- Create and manage your storefront
- Upload products
- Set prices
- Configure inventory
- Receive orders
- Manage shipping
- Configure refund policies
- Enable or disable Pay Over Time for eligible products
- View sales analytics
- Track payouts
- Respond to customer inquiries
You are responsible for all actions performed through your Vendor account.
5. Product Listings
All product listings must be truthful, complete, and accurate.
Each listing should clearly include, where applicable:
- Product title
- Description
- Images
- Price
- Available stock
- Product condition
- Variants
- Shipping details
- Delivery estimates
- Warranty information
- Return eligibility
Images must accurately represent the product being sold.
Misleading descriptions or deceptive practices are prohibited.
6. Inventory Management
Vendors are responsible for maintaining accurate inventory levels.
If a listed product becomes unavailable, the Vendor must promptly update or remove the listing.
Repeated overselling or cancellations due to inaccurate inventory may result in account restrictions.
7. Pricing
Vendors determine the selling price of their products.
Prices must:
- Be displayed clearly.
- Include any mandatory charges where required by law.
- Not be manipulated to mislead customers.
- Remain consistent throughout checkout unless the customer is clearly informed before purchase.
LinkVault may display promotional pricing or discounts where authorized by the Vendor.
8. Orders
When an order is placed, Vendors agree to:
- Acknowledge the order promptly.
- Prepare the order within the stated processing time.
- Ship or deliver the order within the advertised timeframe.
- Provide accurate shipment information where applicable.
- Notify customers of any delays.
Once accepted, orders should only be cancelled for legitimate reasons.
9. Shipping
Vendors are solely responsible for:
- Packaging
- Shipping
- Delivery arrangements
- Tracking information
- Delivery accuracy
- Shipping insurance where applicable
Delivery estimates should be reasonable and based on actual fulfillment capabilities.
10. Returns and Refunds
Each Vendor is responsible for maintaining a clear refund and return policy that complies with applicable law.
Where a Vendor offers returns, the policy should specify:
- Return eligibility
- Return window
- Product condition requirements
- Refund processing times
- Return shipping responsibilities
Refunds must be processed promptly once approved.
LinkVault may facilitate dispute resolution but does not guarantee any particular outcome.
11. Digital Products
Digital products must be accurately described.
Vendors must ensure they have all necessary rights to distribute digital content.
Unauthorized resale of copyrighted content is prohibited.
12. Pay Over Time
Eligible Vendors may enable the Pay Over Time feature for individual products.
Vendor Controls
The Vendor determines:
- Whether installment payments are available.
- The maximum repayment period.
- The number of installments offered.
The repayment period selected by the Vendor must not exceed ninety (90) days.
Installment Fees
Customers may be charged a 1% service fee per installment, subject to a maximum cumulative fee of 5% of the original purchase price.
These fees are payable by the Customer and do not reduce the Vendor's approved sale amount unless otherwise stated.
Late Payments
Where a Customer fails to make the final installment payment:
- A grace period of up to fourteen (14) days may be applied.
- Thereafter, available recovery measures permitted by law may be pursued.
LinkVault may suspend future Pay Over Time eligibility for Customers with repeated payment defaults.
13. Automatic Payments
Where automatic installment payments are enabled, Customers authorize recurring charges to their selected payment method.
Vendors acknowledge that payment processing is handled through LinkVault's approved payment partners.
14. Vendor Payouts
Vendor payouts are subject to:
- Successful payment collection.
- Fraud review.
- Chargeback monitoring.
- Compliance verification.
- Applicable taxes.
- Marketplace fees.
LinkVault may temporarily delay payouts where necessary to protect the Marketplace or comply with legal obligations.
15. Marketplace Fees
LinkVault may charge:
- Transaction fees
- Commission fees
- Subscription fees
- Promotional fees
- Payment processing fees
- Additional optional service fees
Applicable fees will be communicated before they become effective.
Continued use of the Marketplace after revised fees take effect constitutes acceptance of those fees.
16. Taxes
Vendors are solely responsible for:
- Calculating taxes where required.
- Collecting taxes where applicable.
- Filing tax returns.
- Paying all applicable taxes, duties, levies, and governmental charges.
LinkVault does not provide tax advice.
17. Customer Support
Vendors are expected to provide timely and professional customer support.
This includes responding to:
- Product inquiries
- Order issues
- Shipping questions
- Return requests
- Warranty claims
- Complaint resolution
Failure to maintain acceptable customer service standards may affect Marketplace standing.
18. Vendor Conduct
Vendors shall conduct business honestly and professionally.
The following activities are prohibited:
- Fraud
- Misrepresentation
- Fake reviews
- Review manipulation
- Price manipulation
- Counterfeit products
- Intellectual property infringement
- Harassment
- Spam
- Illegal products
- Money laundering
- Circumvention of Marketplace systems
19. Prohibited Products
The following categories are generally prohibited unless expressly authorized by LinkVault and permitted by applicable law:
- Counterfeit goods
- Illegal drugs
- Controlled substances
- Weapons and ammunition
- Explosives
- Hazardous materials
- Stolen property
- Fraudulent financial products
- Pirated software
- Copyright-infringing materials
- Malware
- Phishing tools
- Adult content prohibited by law
- Gambling products prohibited by law
- Wildlife products prohibited by law
LinkVault may update the prohibited products list at any time.
20. Intellectual Property
Vendors represent and warrant that they own or are licensed to use all content uploaded to the Marketplace, including:
- Product images
- Logos
- Descriptions
- Videos
- Trademarks
- Brand assets
By uploading content, Vendors grant LinkVault a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute such content solely for operating, promoting, and improving the Marketplace.
21. Reviews and Ratings
Customers may submit honest reviews based on their purchasing experience.
Vendors may not:
- Offer incentives for positive reviews without disclosure.
- Manipulate ratings.
- Submit fake reviews.
- Harass customers over reviews.
LinkVault reserves the right to remove reviews that violate Marketplace policies.
22. Compliance
Vendors agree to comply with all applicable laws relating to:
- Consumer protection
- Product safety
- Advertising
- Intellectual property
- Data protection
- Anti-money laundering
- Taxation
- Import and export controls
- Sanctions
23. Suspension and Termination
LinkVault may suspend or terminate a Vendor account where there is evidence of:
- Fraud
- Repeated customer complaints
- Policy violations
- Chargeback abuse
- Sale of prohibited products
- Illegal conduct
- Failure to complete required verification
- Security concerns
Termination does not relieve the Vendor of outstanding obligations to Customers or LinkVault.
24. Limitation of Liability
To the maximum extent permitted by law, LinkVault shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the Vendor's use of the Marketplace.
LinkVault's total liability under this Agreement shall not exceed the fees paid by the Vendor to LinkVault during the twelve (12) months preceding the claim.
25. Indemnification
The Vendor agrees to indemnify, defend, and hold harmless LinkVault, its affiliates, directors, officers, employees, agents, and partners from and against any claims, damages, liabilities, losses, costs, or expenses arising from:
- Products sold by the Vendor.
- Breach of this Agreement.
- Violation of applicable laws.
- Intellectual property infringement.
- Customer disputes attributable to the Vendor's conduct.
26. Amendments
LinkVault may amend this Agreement from time to time.
Material changes will be communicated through the Marketplace, email, or other appropriate means.
Continued use of the Marketplace after the effective date of revised terms constitutes acceptance of the updated Agreement.
27. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
28. Dispute Resolution
Before initiating legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith negotiations.
If a dispute cannot be resolved amicably, it shall be submitted to the competent courts within Nigeria unless applicable law requires otherwise.
29. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
30. Entire Agreement
This Vendor Agreement, together with the LinkVault Terms and Conditions, Privacy Policy, Cookie Policy, Acceptable Use Policy, and any additional Marketplace policies, constitutes the entire agreement between LinkVault and the Vendor concerning Marketplace participation.
By registering as a Vendor, you acknowledge that you have read, understood, and agree to be bound by this Vendor Agreement.
